仕事内容

日本国内のビジネスにおける法務事務業務全般をご担当頂きます。
※販売代理店との契約書に関する業務のボリュームが大きいです。(契約締結済のディーラーが多いため、今後0から締結するケースは少ないです。)
※日本法人には本ポジション以外に法務担当は在籍していません。営業担当・顧問法律事務所とコミュニケーションをとりながら、最終的には海外(英国)の上長の指示・承認によって動きます。
※働き方：フレックス制(コアタイム10:00〜15:00)です。残業時間は、〜10時間/月、程度です。
【SUMMARY】
The company has a strong global presence，selling medical devices internationally through a variety of channels.The Paralegal，International will provide legal support for a range of commercial and corporate projects.This position will be responsible for supporting commercial transactions in the company’s ‘International Region’，with primary focus on Japanese and Southeast Asia markets，and work closely with members of the legal team，other internal stakeholders，and external counsel on corporate matters generally.
【DUTIES/RESPONSIBILITIES】
・Assist legal counsel in the drafting and negotiating of multiple forms of commercial contracts throughout the regions.
・Providing strategic and practical support to senior leadership and in-country management on commercial and corporate matters generally.
・Assist legal counsel in the management of distributor contracting process with primary focus on Japanese and Southeast Asia markets，to include contract drafting and negotiation，as well as implementation of global distributor contracting policy，due diligence evaluation and other anticorruption procedures.
・Providing strategic support on customer contracting and tender policy and procedure，to include areas such as product advocacy，tender submission and appeal.
・Assist Corporate Health Care Compliance group with negotiation and drafting of multiple forms of agreements with health care professionals and others.
・Assist with corporate governance process requirements，including coordinating relevant group company board meetings and assistance with relevant registry filings.
・Work closely with other members of the legal team and external counsel on other corporate matters as needed，such as intellectual property protection，due diligence activities related to M&A and licensing transactions，corporate procurement transactions，and assisting in the design and implementation of contracting procedures and processes and risk management programs.
・Liaise with the company’s network of external counsel within the regions，manage the implementation of fee arrangements and other administration related to the use of external counsel，while coordinating with the company legal counsel in the service of global clientele.
・Provide strategic support to legal counsel in anticipating，guarding，and advising against legal risks involving the company and its business.
・Provide administrative support to legal counsel as may be deemed suitable and assigned.
・Participate in all other reasonable work activities as may be deemed suitable and assigned.
・Conform to，support，and enforce all company policies and procedures.
【QUALIFICATIONS】
The successful applicant will have a good commercial acumen，be a strong team player and used to working in an international environment.He or she will be a strong communicator and prepared to give practical advice to the international business operations with primary focus on Japan and Southeast Asia.

経験・資格

●事業会社の法務部門もしくは法律事務所におけるパラリーガルなど、法務事務のご経験者
●英語力：ビジネスコミュニケーションが可能であること
※レポート先(上長)は英国です。
●大卒以上
・Minimum [insert appropriate qualification]degree from a reputable university.
・4 years+post degree experience in a reputable law firm or in-house.
【PREFERRED QUALIFICATIONS】
・Experienced in supporting legal counsel in drafting，negotiating complex commercial contracts.
・Excellent communication and interpersonal skills and a great sense of collaboration and team work.
・Ability to work independently，manage and prioritize issues and tasks to deliver timely，high-quality work.
・Ability to interact effectively with outside counsel，company management and other employees in a professional manner while conveying a positive service-oriented attitude.
・Ability to maintain confidentiality and discretion in business relations and exercise sound business judgment.
・Experience in the pharmaceutical/medical device or healthcare industry or representing clients in the healthcare industry is preferred.
